REGULAR PAYMENT TERMS AND CONDITIONS FOR DANISH EXPORT ASSOCIATION (DEA)
1. Validity Mentioned below, regular payment terms are valid unless anything else is arranged between the partners.
2. Payment Concerning sale of fair area, DEA delivers a stand with construction to the extent to which it is agreed upon.
Concerning sale of excursions etc., DEA arranges meetings and/or conferences with potential partners of collaboration, and prepares marketing material if necessary as far as it has been agreed upon.
Sales promotion for the above-mentioned and additional services are paid separately as previously arranged, and only after a written order confirmation.
3. Payment Terms All prices are in Danish kroner and excl. VAT. The payment terms are agreed 8 days net of date of invoice. Late payment is calculated with a 1.5% interest per beginning month.
Sale of fair area, participation in export promotion and international seminars, DEA is entitled to invoice 50% in advance at registration and the balance after any exhibitor meeting but no later than 3 months prior to the arrangement. Sales of participation in meetings, seminars and conferences held in Denmark, DEA is entitled to invoice for the registration fee 1 week before the meeting.
4. Cancellations 4.a. For cancellations of fairs, export promotions and international seminars, the following is paid of the agreed upon price:
Cancellations 6 months prior to the fair: 50% Cancellations 3 to 6 months prior to the fair: 75% Cancellations later than 3 months prior to the fair: 100%
4.b. For cancellations of meetings, seminars and conferences held in Denmark, the following is paid of the agreed upon price:
Cancellations 14 days before: 0% Cancellations 7 to 14 days before: 50% Cancellations later than 7 days before: 100%
5. Special terms for fairs The customer is responsible for taking out insurance for displayed products both during transportation and the fair.
Expenses for freight of own goods and personal travel insurance and travel accommodation expenses are likewise DEA rayed by the customer.
DEA is not liable for delayed joint stand material, however, if so, DEA will strive to provide other stand material from the fair.
| | 6. Special terms for excursions etc. The customer is liable for taking out insurance for participating employees.
DEA reserves the right to make changes in the program, and is not liable for cancellations of arranged guest speakers, company CEOs, VIP persons etc.
Participation in arrangements arranged by DEA in connection with excursions etc. is at one’s own risk.
7. Services with Subsidy If a service is sold with the expectations of services with subsidy, DEA is not liable for whether or not subsidy can be attained. Is subsidy not attained, the customer has the right to cancel without payment 14 days after DEA has announced the economic consequences of lacking subsidy.
Subsidy from the Trade Council of Denmark shall only be granted to participating companies with a Danish CVR. No. DEA can only sell benefits reduced by subsidies from the Trade Council of Denmark when DEA can charge to a customer with a Danish CVR No. Other customers, who participate in events with subsidy from the Trade Council of Denmark, must therefore expect a price without a reduction of subsidies, which represents a premium of up to 50%.
8. Limitation of Liability Compensation claims towards DEA can never exceed the invoice amount excl. VAT for the bought services.
Indirect loss, consequential loss etc. is not replaced Finally, there is no compensation for typos and errors in connection with translations of technical terms
9. Freedom from Responsibility DEA cannot become liable in force majeure cases which the partners are not master of, such as war, fire, bankruptcy of partners of collaboration/suppliers, riots and violence, implementation of legal- or currency restrictions or the like.
10. Venue In the case of disagreement between partners, the matter – if it cannot be solved in amiability – is filed at DEA’s jurisdiction under the use of Danish law.
